1. ACCEPTANCE OF TERMS

Welcome to nobl3s.com (the “Site”), a web site operated on behalf of Nobl3s Street (“NS”). The Terms of Use include any posted guidelines or rules applicable to particular Content or Services (as defined below) and, as updated by NS from time to time, are collectively referred to as the “Terms of Use” and govern the use of the Site either as a guest or a registered user.
You should carefully read the Terms of Use before using the Site. You can review the most current version of the Terms of Use at any time at https://www.nobl3s.com. By using the Site or by clicking to accept or agree to the Terms of Use when this option is made available to you, you: (i) acknowledge that you have reviewed and agree to be bound by the Terms of Use; (ii) represent and warrant that you are at least eighteen (18) years old and reside in the United States; and (iii) represent and warrant that you have the legal authority to accept the Terms of Use. If you do not meet all of these requirements, you must not access or use the Site. If you work for or represent a business, you represent and agree that you are authorized by that business to enter into and be bound by the Terms of Use on behalf of that business. This is a legally binding agreement. If you do not agree with the Terms of Use, you are not authorized to use the Site.

2. ACCESS TO THE SITE

Access to certain portions of this Site may require login and password information provided only to users and/or businesses who have registered (the “Registered Users”). Registered Users are responsible for maintaining the security of their login credentials. The login and password are provided for the use of the Registered User only are not transferable and may not be shared with other users or businesses. If you have received a login and password that belong to another person, you are not authorized to use that login account and we request that you notify NS of the misdirected login information. Misuse of a login account, including, without limitation, unauthorized sharing of the login and password, may result, at NS’s sole discretion, in cancellation of the Registered User’s registration and other remedies, and NS shall have no liability to the Registered User, including but not limited to any fraudulent activity, that may occur from such unauthorized sharing of the login and password.

3. OUR CONTENT AND SERVICES

The Site may provide certain content (including, without limitation, documents, photographs, advertisements, marketing materials, pricing information, text, graphics and images) and services that NS may change or update from time to time (the “Content” and “Services”). The Content and Services offered on the Site are provided solely to enable NS to provide information about its products. In the event that any posted Content appears to be inappropriate for display on this Site for any reason, users and Registered Users are encouraged to contact NS in accordance with Section 7 to request removal of such Content.

4. YOUR CONTENT
   1. Any material that you upload, post, email or otherwise transmit using the Site, including, without limitation, photos, images, text, graphics, designs and other material (collectively, your “User Content”) are your responsibility and must comply with the Terms of Use.
   2. You will retain ownership of your User Content. You grant NS a worldwide, non-exclusive, transferable, royalty-free, perpetual, irrevocable right and license, with right of sublicense through multiple tiers, to use, reproduce, distribute through multiple tiers, create derivative works of and publicly display, and archive, such User Content in connection with the production or provision of any product or Service you request or to show you how your User Content would appear in and/or on NS products or Services.
   3. You represent and warrant that:(i) You own or control all necessary rights in and to the User Content and have the right to grant the license granted above to us and our respective licensees, successors, and assigns, (ii) You have obtained the written consent, release, and/or permission of every identifiable individual who appears in any submitted User Content to use such individual’s name, image, and likeness, for purposes of using and otherwise exploiting the User Content in the manner contemplated by the Terms of Use and the Services, or, if any such identifiable individual is under the age of eighteen (18), you have obtained such written consent, release, and/or permission from such individual’s parent or guardian, and (iii) your User Content does and will comply with the Terms of Use.
   4. All User Content that you upload is automatically stored by NS. NS does not review any of your User Content before you upload it to the Site. As such, uploading your User Content to the Site does not mean that such User Content is in compliance with the Terms of Use.
   5. You agree that any User Content submitted as part of an order for Services may be reviewed for compliance with the Terms of Use. NS may refuse to use any User Content and may suspend processing and shipping of any order relating to the User Content. NS and its designees reserve the right to demand confirmation from you in writing of all rights, authorizations, licenses, permissions, and consents owned or obtained by you (if any) with respect to any User Content you upload to or transmit through the Site. If you fail to provide NS with satisfactory confirmation upon request, NS reserves the right to suspend or terminate your account. In addition, you agree that NS may disclose any User Content and the circumstances surrounding its submission and use to any third party in order to provide the requested Services, enforce these Terms of Use, or comply with any legal obligations or governmental requests.
   6. By submitting suggestions or feedback to NS regarding our Services, you agree that NS may use and share such feedback for any purpose without compensating you.

5. PRIVACY

For information about how NS collects, uses, and shares your personal data, please read our Privacy Policy. By using the Site, you agree that we may use your personal data in accordance with our Privacy Policy. The Site will process and store data in the United States.

6. USE OF THE SITE AND REGISTRATION

Use of the Site is voluntary. You may choose not to use the Site and you may choose not to register as a Registered User. You may use or download Content for your business only as specifically permitted on the Site, or for your personal, noncommercial purposes. The information NS obtains from users and Registered Users will be used in accordance with NS’s Privacy Policy. You may deactivate your account at any time by contacting NS at the addresses provided in Section 7. In addition, you may have to pay a fee for access to the Site pursuant to a separate agreement with NS. If you choose to register as a Registered User, you agree that you will be responsible for maintaining your password as confidential, you will not share your login credentials with another user or business, and should you choose to share your login credentials with another user or business in violation of this Agreement, you will be responsible and for any activity that occurs as a result. You agree to immediately notify NS in accordance with Section 7 in the event that (i) your password is lost or stolen, or (ii) you become aware of any unauthorized use of your password or of any other breach of security related to the Site. NS is not responsible for any loss or damage arising from your failure to comply with the provisions of this section. We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

8. PROHIBITED BEHAVIOR

You are responsible for all of your User Content. Likewise, you are responsible for respecting NS’s and third parties’ rights with respect to Content that appears on the Site and agree not to download, email or otherwise transmit such Content in violation of NS’s and third parties’ rights. You agree to use the Site solely to accommodate your own personal or business needs.    • Use the Site or Services for any purpose or in any manner that violates any local, state or federal law or regulation or the law or regulation of any foreign government;
   • Directly or indirectly, intentionally disrupt or interfere with the Site in any manner that may materially adversely affect NS or any third party; or
   • Upload, post, email or otherwise transmit without authorization any material that contains personal or private information concerning any third party person or entity (except for a business you are authorized to act on behalf of), including without limitation, phone number(s) or addresses, credit/debit cards, calling cards, account numbers, social security numbers, passwords or other similar information.

9. DISCLAIMER OF WARRANTIES

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.     2. Trademarks “NS NOBL3S STREET” is a trademark in which NS claims priority and ownership. Other trademarks are used with the permission of their respective owners. You agree not to use or display trademarks without the prior written consent of NS or the owner of such mark.

Trademark Infringement. NS will respond to notices of alleged trademark infringement. If you believe that any materials accessible on or from the Site infringes your trademark, you may request removal of those materials from the Site by submitting written notification to us at legal@nobl3s.com. The written notice must include the following information:

You acknowledge and agree that such links are provided for your convenience and do not reflect any endorsement by NS with respect to the provider of such linked site or the linked site. If you decide to access any of the third-party websites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. NS MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ANY LINKED SITE: YOUR USE OF ANY LINKED SITE IS SOLELY AT YOUR OWN RISK.

13. Geographic Restrictions

The owner of the Site is based in the United States. We provide this Site for use only by persons located in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. 15. JURISDICTION AND VENUE

You agree that this Agreement and the relationship between you and NS will be governed by the laws of the State of Illinois, without respect to its conflict of laws provisions and that venue with respect to any dispute between you and NS will rest exclusively in the state or federal courts located in Williams County, North Dakota.

16. CHANGES

NS may change the Terms of Use from time-to-time. If such a change is made, NS will post the revised Terms of Use on the Site. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
